TERMS OF SERVICE
Terms of Service
Effective 2 November 2026 · version 2026-11-02
These are the rules for using Xplainly. In short: lessons are made by AI and are for learning, not for professional advice; you own the lessons you make and may share them through Xplainly, but not redistribute them elsewhere; credits are the currency and subscriptions renew until you cancel; be decent to other people. The full terms follow.
1.Who we are and what these terms cover
Xplainly is a service that makes video lessons to order: you ask a question, and the service researches it, writes a script, draws and narrates a video, and adds sections, sources, a quiz, flashcards and a tutor you can ask while you watch. It is available at xplainly.ai and through any apps or interfaces we offer (together, the Service).
The Service is operated by Xplainly, based in Yerevan, Armenia (we, us, our). Our contact address for legal notices is [email protected]. Our registered legal entity name and postal address are published on this page as soon as registration is complete.
These Terms of Service (the Terms) are a binding agreement between you and us. They cover your use of the Service, the lessons and other content you make with it, the public library, the credits you buy or earn, and the community features. Our Privacy Policy explains how we handle personal data and forms part of these Terms.
Please read the whole document. Section 18 limits our liability, and section 19 says which law and courts apply to any dispute.
2.Accepting the terms, and who may use the Service
You accept these Terms by ticking the box when you create an account, or by using the Service in any way. If you do not agree, do not create an account or use the Service.
You must be at least 16 years old to create an account. If you are under 18, a parent or legal guardian must read these Terms and agree to them on your behalf, and is responsible for your use of the Service. If you use the Service for a school, company or other organisation, you confirm that you have authority to bind that organisation, and “you” then means both you and the organisation.
We keep a record of the version of the Terms you accepted and when. When we change the Terms in a way that matters (section 21), we will ask you to accept the new version before you carry on using the Service.
3.Your account
You need an account to make lessons, ask the tutor, comment, or share. Give us accurate information and keep it current. Your username is public and appears next to your comments and shared lessons; your name and email are private and shown only to you.
You are responsible for everything done through your account and for keeping your password secret. Tell us at once at [email protected] if you think your account has been used without your permission. One person, one account: you may not create accounts for other people, share an account, or create additional accounts to get around a limit, a suspension or a ban.
You may delete your account at any time from your settings, or by emailing [email protected] from the address on the account. Section 16 explains what happens to your content and credits when an account is closed.
4.Lessons are made by AI: accuracy, labelling and reliance
Every lesson, quiz, flashcard deck, course plan, translation and tutor answer on the Service is generated by artificial intelligence from the question you ask and material found online. We work hard on accuracy, and each lesson lists the sources it was built from so you can check them, but generated content can be incomplete, out of date or simply wrong, and two lessons on the same question will differ.
The Service is for learning and general information only. It is not medical, legal, financial, tax, engineering, safety or other professional advice, and it is not a substitute for a qualified professional, an official curriculum or a primary source. Do not rely on a lesson for any decision where an error could cause harm without checking the facts yourself.
Lessons are labelled as AI-generated where we present them, and we mark generated video and audio in machine-readable form where the law requires it (including Article 50 of the EU Artificial Intelligence Act). You must not remove, hide or alter these labels or marks, and if you show a lesson to others you must not present it as a human-made recording.
Narrator voices are synthetic. They are either voices licensed from our speech providers or, on plans that allow it, a clone of your own voice made from a recording you supply (section 6).
5.What you give us: questions, prompts, files and recordings
“Input” means anything you submit to the Service: questions and prompts, files you upload to make a lesson from, course descriptions, tutor questions, comments, profile details, and voice recordings. You keep whatever rights you have in your Input.
You grant us a worldwide, non-exclusive, royalty-free licence to store, copy, process, transmit and display your Input as needed to run the Service for you: to research and write the lesson, to send the relevant parts to the AI and speech providers we use (section 13), to answer your tutor questions, to show your comments, and to keep backups. We do not use your Input or your lessons to train AI models, and we do not sell them.
You are responsible for your Input. You confirm that you have the rights needed to submit it (for a file, the right to have it read and turned into a lesson for you) and that it does not break section 8. Do not submit personal data about other people, confidential information, or anything you do not want processed by third-party AI providers.
6.Your voice
On plans that include voice cloning you can record a short sample and have lessons narrated in a synthetic copy of your voice. A voice recording is biometric data in some jurisdictions, so we ask for your explicit consent when you record it, and you can withdraw that consent and delete the recording at any time from My voice.
You may only record your own voice. You must not upload or imitate the voice of anyone else, living or dead, with or without their permission. We keep your recording to make the clone; a clone is created for each lesson you narrate and deleted from the speech provider when the lesson is finished. Lessons already narrated in your voice remain as they are.
You grant us a licence to use the recording and the clone solely to narrate the lessons you ask for. We will never use your voice for anything else, and never for other users.
7.The lessons you make: ownership, licence and what you may not do
“Output” means the lessons, videos, scripts, quizzes, flashcards, course plans, captions and tutor answers the Service generates for you. As between you and us, and to the extent the law recognises rights in AI-generated works, you own the Output made from your Input, subject to the licence and the restrictions below. We do not promise that Output is protectable by copyright anywhere, that it is unique, or that similar Output will not be generated for other users who ask similar questions.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transcode, stream and display your Output as needed to run the Service, to show it to the people you choose to share it with, and, if you publish it to the public library, to show it there and to promote the Service with short excerpts, always with attribution to your username.
What you may do. You may watch your lessons, use them for your own study or teaching, play them to a class or a group on the Service, and share them through the Service’s sharing features.
What you may not do. Unless we agree otherwise in writing, you must not:
- redistribute a lesson or any part of it outside the Service: no downloading, screen-recording, re-uploading to video or social platforms, embedding on other sites, including in a paid course, sale, sublicensing, rental or lending;
- remove or alter the Xplainly attribution, AI labels, watermarks or provenance marks;
- present a lesson as your own recording, as human-made, or as endorsed by a source it cites;
- use Output to build or train a competing product or an AI model;
- use Output in a way that would break section 8.
Our own lessons in the public library (those marked as platform lessons, with no user owner) are ours. You may watch them freely on the Service, and the same restrictions apply.
Lessons cite third-party sources. Those sources belong to their owners and are used and quoted for reference; nothing in these Terms grants you rights in them.
8.Acceptable use
Use the Service lawfully, honestly and with respect for others. You must not use the Service to request, make, share or comment with content that:
- is illegal, or promotes or gives instructions for serious harm: weapons, explosives, drugs manufacture, self-harm, terrorism or violent extremism;
- sexualises children in any form, or is sexually explicit;
- harasses, threatens, defames or doxes any person, or is hateful towards a group on the basis of race, ethnicity, religion, sex, gender identity, sexual orientation, disability, age or similar;
- infringes anyone’s copyright, trademark, privacy, publicity or other rights, including by asking for a lesson that reproduces a copyrighted work at length;
- impersonates a real person or organisation, or is a deepfake of a real person, including cloning a voice that is not yours;
- is deceptive: misinformation presented as fact, fraud, phishing or spam;
- contains malware or is designed to interfere with the Service or anyone’s device.
You must also not:
- access the Service by automated means (bots, scrapers, crawlers) or through anything other than the interfaces we provide, or exceed the rate and question limits we set;
- reverse engineer, decompile or attempt to extract our prompts, models, pipeline, source code or non-public data, or probe or test the security of the Service without our written permission;
- circumvent credits, plan limits, previews, unlocks, the question caps, or any other restriction; or resell or share access to your account or plan;
- use the tutor for anything other than questions about the lesson you are watching. Repeated unrelated questions switch the feature off for your account (section 11);
- use the Service to cheat in an exam or assignment where that is prohibited, or to submit Output as your own original academic work where that is not allowed;
- use the Service in breach of any applicable export control or sanctions laws, or from a country where it is not permitted.
Every question is checked before a lesson is made, and questions we decline are not charged. We may review, decline, remove or restrict any Input or Output that we reasonably believe breaks these Terms, and we may report illegal activity to the authorities.
9.Sharing, the public library and the community
Private by default. Lessons you make are private to you until you share them. You can share a lesson with everyone from the lesson page; you can make it private again at any time, though copies of the first minute may remain in caches for a short while.
Shared lessons and unlocks. When you share a lesson, anyone can watch its first minute free. Watching the rest costs the viewer credits for the remaining length, at the rate of the lesson’s style, and each time a viewer unlocks it, 10% of what the whole lesson costs in credits is credited back to you (20% on the Pro plan, or whatever your plan states). Earned credits can be spent on the Service and do not expire, but they are not money: they cannot be withdrawn, transferred, or exchanged for cash. Unlocks are final; a viewer who has unlocked a lesson keeps access to it while it remains shared. We may change the reward rate for future unlocks on notice. Platform lessons are free to watch in full and earn nothing.
Comments, reactions and profiles. Your username, profile, comments and reactions are public. We may moderate, edit for length, or remove comments that break section 8, and we may restrict community features for accounts that repeatedly break them.
Reporting. If you see a lesson or a comment that you believe is illegal or breaks these Terms, tell us at [email protected] with a link and the reason. We review reports promptly, act on them where justified, and, where the law requires (including the EU Digital Services Act), tell the person who reported and the person whose content was affected what we decided and how to contest it.
10.Credits, plans, packs and payment
Credits are the unit. Making a lesson uses credits for the length of the finished video, at the rate of the lesson’s style: one credit per minute for Classic lessons, and the rate shown on the Plans page and the lesson form for other styles (currently two and a half per minute for Studio). Every lesson is at least five minutes long. A lesson made from your own files also uses credits for reading them: one credit per 25 pages, counted in tenths (10 pages use 0.4 credits), shown on the lesson form before you start. When you ask for a lesson, we reserve the credits it may need; when it is finished we charge for the actual length and release the rest. A lesson that fails is not charged. Credits have no cash value, cannot be transferred between accounts, and cannot be withdrawn.
Plans. New accounts start on the Free plan, which includes the credits for one free 5-minute lesson. On any plan, Free included, you can buy exactly the credits you need; on Free, buying credits also unlocks additional features. Subscription plans (currently Starter, Plus and Pro) give a monthly allowance of credits plus additional features. All of this is described on the Plans page. A plan's credits are given each 30-day period; credits left unused carry over for up to two more periods while the subscription is renewed (including a renewal up to 30 days after it ends), the oldest being used first, and after that they lapse. Purchased credits and credit packs do not expire. When both are available, plan credits are spent first.
Subscriptions and renewal. A subscription is paid for 30 days at a time. When you buy one you may choose automatic renewal: we then ask our payment processor to save your card and charge the plan's then-current price at the end of each 30-day period, until you turn automatic renewal off on your My usage page or by emailing us, as simply as you subscribed. Turning it off, or switching to the Free plan, takes effect at the end of the period you have paid for, and you keep your plan, its credits and features until then. Without automatic renewal, you renew by paying again; renewing before the end adds to the time already paid for. We email you 5 days and 1 day before a subscription ends (with automatic renewal, 5 days before the charge), and when it ends. A subscription that ends unpaid stays on your account, but it cannot make new lessons until you renew it; your lessons and purchased credits stay yours. We will tell you by email at least 30 days before any price increase or material change to a plan takes effect, so you can turn renewal off before it does.
Payment. Payments are taken by our payment processor; we do not store card numbers. You authorise us to charge your chosen payment method for the plan, pack or credits you order, plus any applicable taxes. Prices are shown in US dollars before you buy; your card is charged the equivalent in Armenian dram at the exchange rate of the day of the charge. Where VAT, sales tax or similar applies and is not shown, it is added at checkout. If a payment fails we may retry it, and we may suspend paid features until it succeeds.
Refunds and the right of withdrawal. Credits are digital content delivered immediately. If you live in the European Union, the United Kingdom or another place with a statutory right to withdraw from a distance contract, you agree that we may start delivering as soon as you pay, and you acknowledge that you lose the right of withdrawal for credits that have been spent. Unspent purchased credits can be refunded on request within 14 days of purchase. Beyond that, and outside those jurisdictions, purchases are non-refundable except where the law requires otherwise or we decide to refund at our discretion, for example when a lesson we delivered was unusable. Lessons that fail are never charged.
Free credits and promotions. Introductory credits and promotional offers are given at our discretion, may be withdrawn or limited to one per person, and may expire on the terms of the offer.
Chargebacks. Contact us before disputing a charge with your bank; we resolve almost everything directly. Accounts that dispute legitimate charges may be suspended until the matter is settled.
11.The tutor
While watching a lesson you can pause and ask about what is on screen. Answers are generated by AI from the frame, the scene’s description and the lesson’s script, and the same accuracy warning as section 4 applies. The tutor answers questions about the lesson only. Each account may ask up to 20 questions per lesson and a limited number per hour, and repeated questions unrelated to any lesson switch the feature off for the account. Your questions and the answers are stored with your account so the conversation can continue, and you can see them in the box.
12.Our intellectual property and your feedback
The Service itself, including its software, design, pipeline, prompts, models, scene libraries, narrator voices, the Xplainly name and logo, platform lessons, and all other content we provide, is owned by us or our licensors and protected by intellectual property laws. These Terms grant you a limited, personal, non-transferable, revocable licence to use the Service as it is offered, and nothing more. Feedback and suggestions you give us may be used freely, without obligation to you.
13.Third-party services and sources
To make lessons we send parts of your Input and Output to third-party providers of AI models, speech synthesis, hosting, storage, email and error reporting. The current list is in the Privacy Policy. Those providers process the data on our instructions under their own terms and security commitments; we choose providers whose terms do not allow training on our users’ data. Lessons link to external web pages as sources. Those pages are not ours, we do not control them, and their own terms and privacy policies apply when you visit them.
14.Copyright complaints
We respect intellectual property and expect users to do the same. If you believe that content on the Service infringes your copyright, send a notice to [email protected] with the subject “Copyright notice” containing: a description of the work you say is infringed; the link to the content on the Service; your name, address, email and, if you act for someone else, whom you represent; a statement that you have a good-faith belief the use is not authorised by the owner, its agent or the law; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorised to act for them; and your physical or electronic signature. We act on valid notices under the US Digital Millennium Copyright Act and equivalent laws elsewhere, we forward notices to the user concerned, who may send a counter-notice, and we terminate the accounts of repeat infringers.
15.Availability, changes and beta features
We are improving the Service constantly and may add, change, limit or remove features, models, narrators, languages and plans, with notice where the change would materially reduce what a paid plan includes. We aim for the Service to be available at all times but do not guarantee it: lessons depend on third-party providers and can be delayed or fail, and we may suspend the Service for maintenance or for reasons beyond our control. Features marked as beta, preview or experimental may change or disappear without notice and are provided without any commitment.
16.Suspension, termination and what happens after
By you. You may stop using the Service and delete your account at any time from your settings (section 3). Deleting your account removes your profile, comments, private lessons, recordings and remaining credits. Lessons you had shared to the public library may remain visible, attributed to a deleted account, unless you make them private first. No refund is due for credits remaining when you delete your account, except as section 10 provides.
By us. We may suspend or terminate your account, or restrict features, immediately if you materially breach these Terms, if the law requires it, if your account is used for fraud or abuse, or if it has been inactive for more than two years (after emailing you first). We will tell you why unless the law prevents it or telling you would compromise an investigation. Credits on an account terminated for breach are forfeited. If we discontinue the Service entirely, we will give reasonable notice and refund unspent purchased credits pro rata.
Sections that by their nature should survive (including 7, 12, 17, 18, 19, 20 and 22) survive termination.
17.Disclaimer of warranties
Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service and all Output are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or availability. We do not warrant that Output will be correct, that it will meet your requirements, that it will be free of bias, or that the Service will be uninterrupted or error-free. Nothing in this section limits rights that consumer protection law gives you and that cannot be excluded by agreement.
18.Limitation of liability
To the fullest extent permitted by law, we and our officers, employees, contractors and providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or opportunity, arising from or related to the Service, these Terms or any Output, however caused, even if we were told they were possible.
To the fullest extent permitted by law, our total liability for all claims arising from or related to the Service or these Terms in any twelve-month period will not exceed the greater of the amount you paid us in that period and 100 US dollars.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for anything else that cannot be limited by law. If you are a consumer in the European Union, the United Kingdom or another jurisdiction whose law gives you rights that cannot be waived, those rights are not affected by this section, and where the law does not permit an exclusion, our liability is limited to the extent the law allows.
19.Governing law and disputes
Talk to us first. If you have a dispute with us, email [email protected] describing it. We will try to resolve it informally within 30 days, and neither of us will start formal proceedings before that period ends.
Governing law. These Terms are governed by the laws of the Republic of Armenia, without regard to its conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.
Courts. Any dispute that is not resolved informally will be heard exclusively by the competent courts of Yerevan, Armenia, and you and we consent to their jurisdiction.
Consumers keep their local protections. If you are a consumer living in the European Union, the United Kingdom, Switzerland, the United States, Australia or another country whose law gives you the protection of your own law and courts, nothing in this section takes that away: you may bring proceedings in the courts of your home country, and mandatory rules of your local consumer law apply. EU consumers may also use the alternative dispute resolution bodies available in their country; we will tell you if we are willing to take part in a given procedure.
Individual claims. To the extent your local law allows, you and we agree to bring claims only in an individual capacity and not as part of a class or representative action.
20.Your responsibility to us
To the extent permitted by law, you will defend, indemnify and hold us and our officers, employees and providers harmless from any claim, loss, liability and expense (including reasonable legal fees) arising from your Input, your Output, your breach of these Terms, or your violation of any law or of anyone’s rights. This does not apply to consumers where the applicable law does not allow it.
21.Changes to these terms
We may update these Terms as the Service and the law change. Each version carries its date at the top, and previous versions are available from us on request. For material changes we will give you at least 14 days’ notice by email or a notice on the Service before they take effect, and ask you to accept the new version when you next sign in. If you do not agree to a change you may close your account before it takes effect; continuing to use the Service after the effective date means you accept the change. Changes required by law or made to address a security issue may take effect at once.
22.General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service and replace any earlier agreement.
- Assignment. You may not transfer these Terms or your account. We may transfer our rights and obligations to a successor of our business on notice to you.
- Severability. If any part of these Terms is found invalid, the rest remains in force, and the invalid part is replaced by a valid one that comes closest to its intent.
- No waiver. Our not enforcing a provision is not a waiver of it.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including outages of third-party providers, network failures, and acts of government.
- Notices. We send notices to the email on your account; you send notices to [email protected].
- Language. These Terms are written in English. Translations are for convenience; the English text prevails.
- Export. The Service may be subject to export control and sanctions laws; you confirm you are not on a sanctions list and not in a country subject to comprehensive sanctions.
23.Contact
